I do have the home upgrade disk. Remove it from the old system by formatting the drive. Install it on the new system. When you activate on the new system, choose to activate by phone. Explain to the rep that you have removed XP from the old system and need to now activate on the new system.

3rd, I hope your upgrade is worth it. If you have an old P3 or something, I wouldn't do it. XP needs 256 MBs, and that's just a minimum (well I've heard 128 pain but I didn't know and it ended up causing technical problems that took much longer to fix than if I had known ahead of time to unistall Norton first.
